As part of our agreement with L1 Capital, BrainCool has distributed free warrants to the company"s shareholders to reduce dilution.

During the period of August 26 to September 9, 2019, holders of TO3 Warrants can exercise the Warrants and subscribe for new shares. One (1) TO3 can be exchanged for one (1) share during the period, at a price of SEK 7.00.

In total BrainCool would receive approximately SEK 8,4 million if all Warrants of series TO3 were to be exercised.

Holders of warrants who have their Warrants registered in custody at a bank or fund commissioner shall contact their bank or fund commissioner if they want to exercise the Warrants and subscribe for the corresponding shares.

Exercise of the Warrants and subscription of shares for other holders of Warrants takes place through simultaneous payment and submittal of the registered application form, signed and submitted to the Company’s share agent (Eminova Fondkommission) no later than 16:00 CSET on September 9, 2019, via e-mail at info@eminova.se.

-Subscription of shares based on the warrants may take place during the following periods:

•  26 August through 9 September 2019
•  24 February through 9 March 2020
•  24 August through 7 September 2020
•  22 February through 8 March 2021
•  24 August through 7 September 2021
•  21 February through 7 March 2022

Holders of warrants series TO3 2019-2022 for a total value of SEK 500,000 or more may always exercise the warrants for subscription of shares, i.e. from the date of listing to and including March 7, 2022.
