(update in the last part with CEO comment)French Kriptown has made a recommended cash offer for Spotlight Group of SEK 33 per share, according to a press release.The offer values Spotlight Group at approximately SEK 199 million and corresponds to a premium of 94 percent compared with the latest closing price on Tuesday. The acceptance period is expected to run from around June 25 to October 14, 2026.Spotlight Group's independent bid committee unanimously recommends that shareholders accept the offer. The recommendation is supported by a so-called fairness opinion from Astelia Advisory.Kriptown currently owns no shares in Spotlight Group. The offer is, among other things, conditional on Kriptown reaching ownership exceeding 90 percent of the shares in the company. Shareholders who together control approximately 69 percent of the shares and votes in Spotlight Group have undertaken to accept the offer.
