Game development company Beyond Frames has entered into a letter of intent to acquire all shares in Corvenia, which develops an AI-based platform for financial consolidation and group management.The purchase price will be paid in newly issued shares. Following the transaction, Corvenia’s shareholders are expected to own approximately 75 percent of the combined company and Beyond Frames’ current shareholders approximately 25 percent.Corvenia has 16 employees, and the platform is used by paying customers for real-time consolidation of more than 120 companies. A broader Nordic launch is planned for October 2026. The company does not yet have significant revenue and expects to reach profitability in 2027.The letter of intent is mainly non-binding. Among other things, the transaction requires due diligence, a definitive agreement, approval by the general meeting and Spotlight Stock Market’s approval for continued listing.The parties intend to carry out due diligence and enter into a binding transfer agreement in November 2026. An application for a listing review with Spotlight Stock Market and a notice convening an extraordinary general meeting in Beyond Frames are also intended to be submitted and published, respectively, during November 2026. Provided that all conditions are met, the transaction is expected to be completed during the fourth quarter of 2026.
