The shareholders of Aixia Group AB (publ) are hereby convened to the Annual General Meeting.
Date and time: Thursday, April 16, 2026 at 13:00, place: Aixia's premises, Hälsingegatan 10, 41463 Gothenburg.
Right to participate and notification:
Shareholders who wish to participate in the Annual General Meeting must be entered in the share register kept by Euroclear Sweden AB (“Euroclear”) on April 9, 2026, and notify their participation to the company at the address: Aixia Group AB (publ), “Annual General Meeting”, Hälsingegatan 10, 41463 Gothenburg or via e-mail to info@aixia.se no later than April 9, 2026.
Upon notification, name, personal identity number/corporate identity number, address and telephone number shall be stated. If the shareholder intends to bring an assistant to the General Meeting, the number (maximum two) and name of assistant shall be notified to the company as above.
If the shareholder intends to be represented by proxy, a written, dated power of attorney shall be issued for the proxy. The power of attorney in original should be sent to the company at the above stated address so that the company receives the power of attorney no later than April 9, 2026. If the power of attorney is issued by a legal person, a certified copy of the registration certificate or corresponding authorization document shall be sent to the company. Note that shareholders who are represented by proxy must also notify themselves as above.
Shareholders who have had their shares nominee-registered must, in order to have the right to participate in the Annual General Meeting, have the shares registered in their own name with Euroclear. Such registration shall be effected on April 9, 2026 and must therefore be requested from the nominee in good time before this date.

1. Opening of the meeting
2. Election of chairman at the meeting
3. Preparation and approval of voting list
4. Approval of agenda
5. Election of one or two persons to verify the minutes
6. Examination of whether the meeting has been duly convened
7. Address by the Managing Director
8. Presentation of the annual report and the auditor’s report as well as the consolidated financial statements and the consolidated auditor’s report
9. Resolution regarding
a) Adoption of income statement and balance sheet as well as consolidated income statement and consolidated balance sheet
b) Dispositions regarding the company’s profit/loss according to the adopted balance sheet and resolution on dividend
c) Discharge from liability for the board members and the Managing Director
10. Determination of the number of board members and deputy board members
11. Determination of fees to the board and auditor
12. Election of board members and chairman of the board
13. Election of auditor
14. Resolution on guidelines for remuneration to senior executives
15. Closing of the meeting
Proposed resolutions:
Resolution on dividend (item 9b):
The board proposes that the Annual General Meeting resolves on no dividend.
Number of board members, fee to the board and auditor as well as election of board members, chairman and auditor (items 10-13):
The board has proposed the following:
The number of board members shall be 5 without deputies. For the board, re-election of Mattias Bergkvist, Leif Nord, Christian Gustavsson, Johan Ljungquist and Ellen Reinhardt as Employee representative is proposed. For chairman of the board, re-election of Leif Nord is proposed. Fee to the board members is proposed to be paid with 0 SEK to the chairman of the board and with 118 400 SEK (two price base amounts) to each of the other board members who are not employed by the company.
For auditor, re-election of Baks & co AB is proposed with Viktor Mattsson as auditor in charge. Audit fee is proposed to be paid according to approved invoice and agreement.
Resolution on guidelines for remuneration to senior executives (item 14):
The board is tasked to annually review the company’s remuneration to employees and management and proposes that the following guidelines shall apply within the area: The company shall offer all employees an attractive total compensation that works to be able to recruit and retain competent personnel in an industry where the competition regarding qualified employees is tough. The remuneration shall be market-based and may contain conditions that motivate the company’s employees to act in the shareholders’ interest. Variable remunerations such as bonus may occur, when motivated in order to be able to recruit and retain key persons as well as to stimulate sales and result improvements and the work to achieve specific key figures determined by the board. The variable remuneration shall be based on predetermined and measurable criteria such as the result development for the Aixia Group and may at most amount to the equivalent of twelve monthly salaries of fixed salary. The remuneration may also consist of pension and any additional employment benefits. The board shall have the right to deviate from these guidelines if special reasons exist in individual cases.
Additional information
Accounting documents, auditor’s report and other documents according to the Swedish Companies Act, will from and including April 9, 2026 be available at the company’s office and on the company’s website aixia.se.
Information at the meeting
The board and the Managing Director shall, if any shareholder requests it and the board considers that it can take place without material damage to the company, at the Annual General Meeting provide information on circumstances that may affect the assessment of an item on the agenda and circumstances that may affect the assessment of the company’s or subsidiary’s financial situation as well as about the company’s relationship to another group company.
Number of shares and votes
At the time of publication of this notice, the total number of shares in the company amounts to 1 576 000 pcs, of which 100 000 pcs shares of series A and 1 476 000 shares of series B, corresponding to a total of 2 476 000 votes.
