Audientes A/S (“Audientes” or the “Company”), CVR 36047631, announces that convertible loan lenders Selandia Alpha Invest A/S, Renewable Ventures Nordic AB and Mr. Gerhard Dal have exercised their rights and have converted part of their loan receivable to shares in the Company. The converted loan amounts to DKK 1 million, and the nominal share capital will be increased by DKK 1 million.

 

The conversion rate is DKK 0.10 for a share of nominal DKK 0.10. This has been determined using the Volume-Weighted Average Price method (known as VWAP) over 10 trading days prior to the approval of the conversion by Audientes’ board of directors and rounded up to the nominal value per share because the share price has been below that for the period of calculation.

 

The fees related to the conversion of the loans is estimated to TDKK 25 exclusive VAT to be paid by Audientes A/S.

 

Audientes’ share capital increases with 10,000,000 shares to 69,384,322.20 shares. Immediately after the conversion of loan, Selandia Alpha Invest A/S will own 5,000,000 shares, which corresponds to approximately 7.2% of the total no. of shares.

    

The remaining convertible loans amounts hereafter to TDKK 3,676.
